1. Acceptance of these Terms

These Terms of Service (“Terms”) are between you and evercrisp.ai LLC (“evercrisp.ai,” “we,” “our,” or “us”). By accessing or using this website, submitting information, requesting an assessment, communicating with us, or otherwise engaging with anything made available by or through evercrisp.ai LLC, you agree to these Terms. If you do not agree, do not use the site or services.

2. What evercrisp.ai provides

evercrisp.ai LLC provides AI strategy, implementation, literacy, advisory, assessment, workshop, and related business services. The site may include marketing content, educational content, frameworks, forms, questionnaires, AI Readiness Snapshots, AI Opportunity Alignment and Impact Potential reports, gated report pages, scheduling flows, email communications, and other materials or tools.

Unless expressly stated in a signed written agreement, nothing on the site creates a consulting, fiduciary, professional, agency, partnership, employment, or client relationship. Specific paid engagement scope, fees, deliverables, ownership, license terms, confidentiality, security, and responsibilities are governed by a separate written agreement or statement of work.

3. Eligibility, access, and changes

The site and services are intended for business use by people who can form binding agreements. We may accept, decline, pause, modify, suspend, discontinue, or refuse access to any inquiry, feature, assessment, report, communication, or service at any time, for any lawful reason, with or without notice. We do not guarantee that the site, forms, reports, content, or services will remain available, uninterrupted, secure, error-free, or unchanged.

4. Your responsibilities

You agree not to:

• Use the site to violate any applicable law or regulation.
• Send unsolicited commercial messages, spam, or phishing attempts through any of our forms or email addresses.
• Attempt to access information or sections of the site that are not intended for you (including the passcode-gated AI Opportunity Alignment and Impact Potential reports).
• Misrepresent yourself, your role, or your affiliation when you contact us.
• Interfere with the site, test or probe security without permission, scrape content, use automated systems in a disruptive way, or attempt to reverse engineer, bypass, overload, or compromise any part of the site.
• Submit content that is unlawful, confidential without authorization, infringing, defamatory, deceptive, harmful, malicious, or otherwise inappropriate.

You are responsible for the accuracy, legality, completeness, and rights associated with information you submit. You agree that we may rely on information you provide without independently verifying it.

5. Information you submit

If you submit information, materials, documents, prompts, messages, business context, feedback, answers, or other content to us, you grant evercrisp.ai LLC a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, process, analyze, modify, summarize, create derivative works from, and otherwise use that content for any lawful purpose connected to operating, evaluating, improving, protecting, marketing, and delivering our site, services, offerings, internal tools, workflows, reports, and business operations.

You represent that you have the rights and authority needed to provide the information and to grant this license. Do not submit sensitive, regulated, confidential, personal, proprietary, or third-party information unless you have the right to do so and accept the risks of providing it.

6. Intellectual property and feedback

The site, brand, trade names, designs, text, reports, report templates, frameworks, workflows, methods, prompts, graphics, code, data structures, know-how, and other materials made available by or through evercrisp.ai LLC are owned by evercrisp.ai LLC or used with permission. Except as expressly allowed by these Terms or a signed written agreement, you may not copy, reproduce, publish, distribute, sell, modify, create derivative works from, or commercially exploit them.

You may share short excerpts or screenshots of public site content with attribution where lawful and non-misleading. Larger reuse, commercial reuse, model training, dataset creation, republication, or reuse of non-public reports or engagement materials requires prior written permission.

If you provide ideas, suggestions, edits, comments, requests, or other feedback, we may use it without restriction, compensation, attribution, or obligation to you.

7. Assessments, reports, AI, and business judgment

Site content, AI Readiness Snapshots, AI Opportunity Alignment and Impact Potential reports, recommendations, examples, frameworks, and communications are informational and directional. They are not legal, tax, accounting, employment, compliance, security, medical, investment, financial, or other regulated professional advice. They also are not a guarantee of business outcomes, revenue, savings, compliance, accuracy, implementation success, or fitness for your particular circumstances.

You are solely responsible for reviewing, testing, validating, deciding whether to use, and implementing any information, recommendation, workflow, strategy, tool, AI output, or deliverable. You are responsible for your own business decisions, controls, approvals, legal review, security review, vendor review, and operational choices.

8. Third-party services and links

The site and services may rely on or link to third-party tools, websites, platforms, vendors, models, APIs, analytics, scheduling systems, email services, databases, hosting providers, payment processors, or other services. We do not control and are not responsible for third-party services, their availability, security, terms, privacy practices, content, outputs, or conduct. Your use of third-party services is at your own risk and may be governed by separate terms.

9. No warranties

To the maximum extent permitted by law, the site, content, assessments, reports, communications, tools, and services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and course of performance.

10. Limitation of liability

To the maximum extent permitted by law, evercrisp.ai LLC and its members, managers, owners, officers, employees, contractors, agents, representatives, vendors, affiliates, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, business-interruption, data-loss, reputational, procurement-of-substitute-services, or similar damages, whether based on contract, tort, negligence, strict liability, warranty, statute, or any other theory, even if advised of the possibility of those damages.

To the maximum extent permitted by law, total liability arising from or relating to your use of the site, public content, forms, communications, assessments, reports, or services outside a signed paid engagement is limited to the greater of $100 or the amount you paid evercrisp.ai LLC for the specific site-related service giving rise to the claim in the three months before the claim arose. Liability for a paid engagement, if any, is governed by the signed written agreement for that engagement.

You agree that any claim arising from or relating to the site or services is solely against evercrisp.ai LLC, and not against any member, manager, owner, officer, employee, contractor, agent, representative, vendor, affiliate, successor, or assign personally, to the maximum extent permitted by law.

11. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless evercrisp.ai LLC and its members, managers, owners, officers, employees, contractors, agents, representatives, vendors, affiliates, successors, and assigns from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the site or services, information you submit, your decisions or implementations, your violation of these Terms, your violation of law, your infringement or misappropriation of rights, or your dealings with third parties.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, and retain information. By using the site or services, you acknowledge that information will be handled as described in the Privacy Policy, as updated from time to time.

13. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules. To the maximum extent permitted by law, you agree that any dispute arising from or relating to these Terms, the site, or services will be brought only in the state or federal courts located in Massachusetts, and you consent to personal jurisdiction and venue there.

14. Changes to these Terms

We may update these Terms at any time. The “Last updated” date at the top reflects the most recent revision. Continued access to or use of the site or services after changes are posted means you accept the updated Terms.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a business transaction or otherwise as permitted by law. These Terms, together with any applicable signed written agreement, are the entire agreement for the subject matter they cover.
